Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Providara AI Concierge Service (“Providara,” “we,” “us,” or “our”), a Shopify app that helps merchants deliver personalized product recommendations and customer conversations through an AI concierge. Providara is operated by Providara and is available at providara.com. By installing the app, purchasing a setup package, or using Providara, you agree to these Terms and our Refund Policy. Setup orders are also governed by our Service Agreement. If you do not agree, do not use the service.

1. Who may use Providara

Providara is intended for businesses that operate a Shopify store. You must be at least 18 years old and authorized to bind the business you represent. You are responsible for ensuring that your use of Providara complies with Shopify's terms, applicable commerce laws, and any rules that apply to your products and customers.

2. Account and Shopify connection

To use Providara, you install our Shopify app and connect your store. You agree to provide accurate information and to keep your credentials secure. You are responsible for all activity under your account, including actions taken by team members you authorize.

You grant us permission to access Shopify data only as needed to provide Providara and only as described in our Privacy Policy. Our app requests read_products, write_products, and write_app_proxy scopes. We use these to sync product catalog data, route storefront requests through the app proxy, and store shop metafields (for example, widget configuration and welcome message). We do not access order history or Shopify Admin customer lists through our granted permissions. This permission remains in effect while the app is installed on your store and these Terms are in effect.

3. Setup service, trial, and billing

Providara offers an AI shopping concierge for Shopify and WooCommerce. Shopify Premium Managed is a one-time setup service (Standard package) with optional monthly maintenance. WooCommerce Self-Service is a recurring subscription (Starter or Pro) with a free trial. Current offerings are described on providara.com/service.

Billing is processed by Paddle.com, which acts as the Merchant of Record. Providara does not bill through the Shopify Billing API for Premium Managed setup fees.

After delivery or plan activation, you may receive a 7-day trial with active storefront chat. If payment is not completed within the trial period (or when a subscription renews and fails), we may pause or disable storefront chat until payment is received.

You are solely responsible for obtaining, securing, and paying for AI API keys and usage fees charged directly by your chosen AI provider (for example, Grok, Groq, or Together AI). Providara is not responsible for charges, outages, rate limits, or policy changes imposed by your AI provider.

By purchasing a setup package, you agree to Paddle's Buyer Terms. We may announce price changes for new setup purchases on our website; completed setup orders are governed by the terms and pricing in effect at the time of purchase.

Refunds are subject to our Refund Policy and our Service Agreement. Setup fees are generally non-refundable once you have installed the Shopify app and your trial period has begun, except where required by applicable law or as expressly stated in those documents.

4. Shopify relationship

Providara AI Concierge Service is distributed through the Shopify App Store and operates within your Shopify admin and storefront. Your use of Providara is also subject to Shopify's applicable terms, policies, and platform rules.

Billing for Providara setup packages is handled externally through Paddle.com, not through the Shopify Billing API. Any charges for Providara setup appear as Paddle transactions; Shopify does not process or manage Providara setup fees on our behalf.

5. Acceptable use and your responsibilities

You agree to use Providara lawfully and in good faith. You must not:

  • Use the service to harass, deceive, or mislead customers
  • Upload or generate unlawful, infringing, or harmful content
  • Attempt to reverse engineer, scrape, or overload our systems
  • Resell or sublicense Providara without our written consent
  • Use the AI concierge to make guarantees you cannot honor (for example, medical claims)

You are solely responsible for the customer-facing experience on your storefront, including how AI responses are presented, any disclaimers you provide, compliance with consumer protection and industry-specific regulations, and your obligations as data controller for end-customer interactions.

6. AI-generated content

Providara uses artificial intelligence to generate recommendations and conversational responses based on your catalog, configuration, and connected AI provider. AI output may occasionally be inaccurate or incomplete. You should review important settings and monitor how the concierge represents your brand, products, and policies.

We do not guarantee that AI responses will be error-free or suitable for every situation. You remain responsible for final customer communications and business decisions made using the service.

7. Intellectual property

Providara, including its software, design, and documentation, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use Providara while you have an active setup order or valid service access and comply with these Terms, solely for your internal business purposes connected to your Shopify store.

You retain ownership of your store content, branding, and customer data. You grant us a license to use that content as needed to operate and improve the service, subject to our Privacy Policy.

8. Service availability and changes

We strive to keep Providara reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice when practicable. Material changes to core functionality will be communicated through email or in-app notice.

9. Disclaimer of warranties

Providara is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your requirements or increase sales or conversion rates.

10. Limitation of liability

To the maximum extent permitted by law, Providara and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the service.

Our total liability for any claim relating to the service is limited to the amount you paid us for Providara setup packages in the twelve (12) months before the event giving rise to the claim.

11. Termination

You may stop using Providara at any time by uninstalling the Shopify app from your store and ceasing use of the service. We may suspend or terminate access if you violate these Terms, fail to pay the setup fee after the trial period, engage in abuse or misuse, or use the service in a way that poses risk to us, Shopify, or others.

Upon termination or uninstallation, your right to use Providara ends. We will handle shop and customer interaction data as described in our Privacy Policy, including deletion in response to Shopify compliance webhooks. Sections that by nature should survive (including payment obligations, disclaimers, and limitations of liability) will continue to apply.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.

13. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on this page and update the “Last updated” date. Material changes will be communicated by email or in-app notice where appropriate. Continued use after changes take effect constitutes acceptance of the updated Terms.
