Terms of Service

1. Who may use Providara
Providara is intended for businesses that operate a Shopify store. You must be at least 18 years old and authorized to bind the business you represent. You are responsible for ensuring that your use of Providara complies with Shopify's terms, applicable commerce laws, and any rules that apply to your products and customers.
2. Account and Shopify connection
To use Providara, you connect your Shopify store and create an account. You agree to provide accurate information and to keep your credentials secure. You are responsible for all activity under your account, including actions taken by team members you authorize.
Providara accesses Shopify data—such as products, collections, orders, and customers—only as needed to provide the service and as described in our Privacy Policy. You grant us permission to access this data for the duration of your subscription.
3. Subscription and billing
Providara is offered on a recurring subscription basis. Plan details, pricing, and included usage (such as chat turns and verticals) are described on our pricing page. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
By subscribing, you agree to Paddle's Buyer Terms and Refund Policy, as well as our Refund Policy. Prices may change with reasonable notice; continued use after a price change constitutes acceptance of the new price for subsequent billing periods.
If payment fails, we may suspend or limit access until the account is brought current. You may cancel at any time through the Paddle buyer portal (link in your subscription confirmation email), via paddle.net, or by contacting us at support@providara.com. Cancellation takes effect at the end of the current paid period unless otherwise stated in our Refund Policy.
4. Acceptable use and your responsibilities
You agree to use Providara lawfully and in good faith. You must not:
- Use the service to harass, deceive, or mislead customers
- Upload or generate unlawful, infringing, or harmful content
- Attempt to reverse engineer, scrape, or overload our systems
- Resell or sublicense Providara without our written consent
- Use the AI agent to make guarantees you cannot honor (e.g., medical claims)
You are solely responsible for the customer-facing experience on your storefront, including how AI responses are presented, any disclaimers you provide, and compliance with consumer protection and industry-specific regulations.
5. AI-generated content
Providara uses artificial intelligence to generate recommendations and conversational responses based on your catalog and configuration. AI output may occasionally be inaccurate or incomplete. You should review important settings and monitor how the agent represents your brand, products, and policies.
We do not guarantee that AI responses will be error-free or suitable for every situation. You remain responsible for final customer communications and business decisions made using the service.
6. Intellectual property
Providara, including its software, design, and documentation, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use Providara during an active subscription, solely for your internal business purposes connected to your Shopify store.
You retain ownership of your store content, branding, and customer data. You grant us a license to use that content as needed to operate and improve the service, subject to our Privacy Policy.
7. Service availability and changes
We strive to keep Providara reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice when practicable. Material changes to core functionality will be communicated through email or in-app notice.
8. Disclaimer of warranties
Providara is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your requirements or increase sales or conversion rates.
9. Limitation of liability
To the maximum extent permitted by law, Providara and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the service.
Our total liability for any claim relating to the service is limited to the amount you paid us for Providara in the twelve (12) months before the event giving rise to the claim.
10. Termination
You may stop using Providara at any time by cancelling your subscription and uninstalling the app from Shopify. We may suspend or terminate access if you violate these Terms, fail to pay, or use the service in a way that poses risk to us or others.
Upon termination, your right to use Providara ends. Sections that by nature should survive (including payment obligations, disclaimers, and limitations of liability) will continue to apply.
11. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.
12. Changes to these Terms
We may update these Terms from time to time. We will post the revised version on this page and update the “Last updated” date. Material changes will be communicated by email or in-app notice where appropriate. Continued use after changes take effect constitutes acceptance of the updated Terms.
